club_cafe: proxies We do allow if three conditions are met> 1) Member must give absent notice prior to meeting to secretary. 2) There must be an issue that is scheduled for an upcoming vote. 3) Member payment needs to be present at time of meeting. A normal situation is that during one meeting a member gives a partial presentation on a company or states that he/she will give a presentation on company X at the next meeting. If a member knows they are going to miss the meeting, they often call the secretary and say "if a vote comes up on company X then here is my vote). We allow this as most members screen upcoming investment proposals on their own time. The proxy vote never has been a significant issue. There have been 'absentee' votes cast on less than five occasions in our six plus years. Now if your question relates to our year end meeting - much more like an actual shareholder meeting - we do not have provisions for proxy voting. Our January meeting serves as our annual shareholder meeting and attendance is required. In January we elect officers, distribute tax information, decide on new monthly investment amounts, decide on subscription renewals and so forth. Our January meeting also serves as the only meeting where a member is able to withdraw from the club. We have had a series of rolling one year membership commitments - and I strongly feel that this has reduced turnover. So once a year we ask each member to commit to another twelve months membership so that we don't have to deal with the distractions associated with a departing member. Hope this helps.
