How do clubs manage current signatures on their PAs? Ours
is out of date and we need one with current signatures to
provide for a new broker.
I was just wondering how you handle that in your club? If
you have to redo all the signatures everytime a member
leaves or joins - that would be onerous. Do you have one
signature page for each member?
Thanks for your collective wisdom.

Which brokerage do you use? If you use TDA, they have an easily accessible and cooperative customer service group. You can call or send an email. I have found them very helpful, but I have not asked that question. Like you, we have found all the signatures onerous. However, if you do inquire to them, ask if they will accept a signature page from each member (one per member). It is a lot of paper, but it gets rid of everyone having to sign the same page. Also, do they require a "wet" signature or will they accept an electronic signature? Sometime soon I am going to have to inquire about that, so if you do ask, please share your responses.

We are facing a similar issue. We have new members sign the PA but do not
remove any members from the document when they leave. That prevents us
from having to re-do all the signatures, but I see how that could be an
issue with the broker. We also moved a lot of the operational aspects
(voting rules, officer duties, etc.) to a Bylaws document which make
updating a lot easier without having to redo the PA. The problem we have
now are gaps due to COVID and only meeting virtually. We've talked about
adding a signature in parts as an option, but haven't gone this route:
Execution in Parts. This Agreement may be executed in any number of actual
or electronic copies of counterparts and by each of the different Parties on
several counterparts, each of which when so executed and delivered will be
an original. The executed signature page(s)from each actual or electronic
copy of a counterpart may be joined together and attached and will
constitute one and the same instrument.

This came up when talking with Fidelity. With their application there is one particular page that each member can sign an individual one.

We do something similar as Larry Reno. When a new member joins we have a one page amendment to the PA that is similar to Larry's then when they leave the club they provide me with another page stating that they are making a full withdrawal and leaving the club. We have not changed the original PA since we started in 2008 but have added amendments to it as needed.

and By-Laws of the Mutual Investors of Atlanta dated October 8, 2018, as
amended, and agree to its provisions.

Then we have the Secretary Certify the signature. We also have other data fields on the page such as address, ssn, telephone, e-mail, etc.

No, we don't. It is a hassle so we don't bother updating them on our changes. They only send out one tax form to the club so we don't see the need to update them on everything.

We're in the process of moving to Fidelity from Folio - grrrr.... But one of the things we need to send them is a signed PA. So we're sending the PA and signature pages similar to what we've seen here. Kim Potter
