In short, yes the partnership is responsible if it is assessed a late filing fee. But, if you sent it certified mail and you have the receipt, you can tell them it was postmarked by the required filing date. That has happened to our club the past two years and for both years the final resolution was that the IRS looked at the envelope and could see that it was timely postmarked and they rescinded the fine.

Now, if you have no proof that it was timely filed, plea for indulgence and I bet they waive the penalty. Hopefully it will not be worse than that.

Just the one page 7004 at the federal level. State requirements will vary.
