Yet Another Type of Reorganization - EMC Buyout By Dell

Companies go to great lengths to avoid paying taxes. Sometimes, as apparently is the case with the proposed buyout of EMC by Dell, shareholders aren't so lucky.

If you own shares of EMC, it looks like you may take a tax hit on this one:

You won't avoid tax issues by selling now.

Your investment club will probably want to decide whether it is worth waiting for what Dell will be offering you for your EMC shares.

Do you mean not avoiding capital gains tax? I know that would apply to a current sale of EMC.
Wouldn't selling now avoid the VMware tracking stock mess? That is what I would like to avoid.

Yes. If you sell before your shares are eligible for the merger consideration, you wouldn't receive any VMWare tracking stock.

Either way though, you are going to have capital gains to report.
