CROW RIVER INVESTMENT CLUB MINUTES

January 13, 2004

 

 

  1. The meeting was called to order by Lynn at 6:30 P.M.  Present with payment were  Lynn Ostrem, Marion Marshall,  Craig Block, Carole Ripplinger,  Cheryl

Selinsky and Mike Trisler.  Tim Huebsch arrived later. This was Cheryl’s first

meeting.  Welcome to the Club!  There were no guests or special orders.

  1. Portfolio Manager Called for Stock Reports:

 

      Craig presented CVS.  It will be reviewed next meeting

      Carole reviewed 1st Data.  The Dept. of Justice approved the merger

      with Concord.  It will have to eliminate its interest with NYCE.  The

      report was favorably received.

      Carole updated Lincare.  It will remain on the Watch List.

  1. Open Discussion on Stocks/ Motions to Buy and Sell Securities:

 

               Craig to purchase approximately  $400.00 of 1st Data, plus the trading fee.

               Corinthian College to remain on the Watch List.  Stock not discussed due to

               time constraint.

 

  1. Non-Stock Related Business:

 

Unfinished Business:  None.

New Business:  Tim will be absent with pay for the months of February, March,

and April.  Craig will be absent with pay during June and July.  Both are pursuing

an MBA.  The absences were approved by the remaining members.

The Audit Committee will consist of Craig, Lynn and Carole.  If needed, Marion

has the Social Security numbers.

The Annual Meeting will occur next month.  Lynn passed out a worksheet, and

the members partially filled it out.  Suggestions for completion given to Lynn

by Friday, February 6, 2004.

NAIC Investor’s Fair will be April 23 & 24, a $40.00 fee.  Lynn to present a class on Friday Evening.   NAIC classes reviewed in BI.

 

 

  1. Education Segment:

 

      Yankee Candle, the January Stock to Study, was reviewed.  No interest was 

       shown for this Stock.

Lynn passed out the Toolkit Criteria for SSG Judgments to those absent last month.

 

 

  1. Review of Assignments:

All to review CVS and compare with Walgreens for next month.

Craig to update FDS.

Craig  to clarify with Firstrade regarding our “Stock Rights”  for EAT.

Craig to buy approximately $400.00 of First Data Shares & transfer $350.00.

Mike & Marion to Compare WMT & CAH SSG figures with Lynn.

Members to contact Lynn for 2004 Goals and Social Events by 2-6-2004.  Compare 2003 Goals to see if achieved.

Marion to review Procedures & Partnership Agreement for Annual Meeting.

1.  The meeting was called to order by Lynn at 6:40 P.M.  Present with payment were

      Mike Trisler.  There were no special orders.

 

2.  The Secretary's Report was approved as posted.

4.  The Audit Committee met and completed the taxes.  Lynn presented each member                      their Schedule K-1, for tax returns.

 

5.  The Slate for the Election of Officers for the coming year was presented.

     A motion was made by Carole Ripplinger to approve the Slate of Officers,

     and seconded by Craig Block. The motion was approved.  Congratulations to the

     new Officers.

 

6.  Lynn presented the issues on the floor--participation and education.

            a. Better communication between members.

            b. Meet deadlines when needed to.

            c. Toolkit emphasis for education.  A chapter every month?

 

      Carole suggested a mid-month assignment reminder.  Lynn will undertake this.

      Lynn suggested using an easel board to place important statistics from the monthly

      stock reports when first arriving for the meeting , to improve the reports. The members to take a good look at the Stock Watcher's Books.  Each Book should be complete and each member should have an Investor's Packet in them.  Each Watcher must read the Annual Report.

 

7.   The 2003 Goals were reviewed.  They were not met.  Due to decreasing membership

      and the portfolio payoffs, education and stock study schedules, as well as our slate

      of officers, were in a constant state of flux.  Despite these changes, we ended in the

      black.

 

8.   The suggested goals for 2004 were reviewed.  The following two were approved.

            a. Have 10-12  members by December 2004.

            b. Master the concepts of Toolkit through the monthly education segments.

 

      How to get new members?  Each member to have suggestions with them at the next

      meeting.  Talking to NAIC members at the Investor's Fair may help.

 

9.   Social Events for 2004-- After some discussion these events were agreed upon:

            a. A Black Powder Keg Party and Picnic in July.

            b. A Fall Dinner the first Saturday in Nov.  Blackwoods?

            c. Appetizers and Cocktails in December, members only.

 

10.  New Presentations--None

 

11.  Review Stocks Previously Presented--CVS vs. WAG.  There was no interest in CVS.

       Walgreen will remain on the Watch List.

         By a vote of 4 to 2, Craig to buy approximately $300.00 of FDS, plus the trading

         fee.

           Unfinished Business:  Firstrade unable to clarify our "Stock Rights" for EAT.

           Craig to pursue further.

 

           New Business- None

 

           NAIC Calendar of Events:  NAIC Classes are listed in BI.  Attend if at all

           possible.  The full schedule begins in the Fall.  The Investor's Fair is April 23 &

           24.  Corporation Presentations and Classes, as well as lunch are included for a

           fee of $40.00.  Lynn will be teaching a class on Friday evening.

 

  

14.     Review of Assignments:

 

          Craig to transfer $290.00, then purchase approximately $300.00 of FDS Shares.

          Craig to pursue Brinker or Firstrade to answer the "Stock Rights" question.

          Everyone to have suggestions on how to increase membership.

          Lynn and Cheryl to plan the education program based on Toolkit.

          Everyone to update stock watcher books to make them current.

          Each member should ask for an Investor's Packet and sign up for stock alerts.

          Lynn to do mid-month assignment reminders.

          Marion to present Stryker Corporation.

          All to check their calendars for July and November for Social Events planning.

  Lynn brought us up to date on news concerning Lincare Holdings. It was decided to delete it from our watch list.

 

  Marion presented a stock presentation on Stryker Corporation, who develops, manufacturers and markets specialty surgical and medical products.

 

  After discussion, a motion made and passed to purchase $250.00 including trading fee of LOW.

 

  Craig reported that the stock rights for EAT was a misprint on the bottom of the statement.

 

5. Non-Stock Related Business: Lynn reviewed what documents are to be compiled in our stock folders.

  Recruiting new members. Many ideas were noted,  and we decided that everyone attending the NAIC Fair would wear a neck tag recruiting new members. Lynn will purchase plastic tag using club funds, estimated amount $12.00. She will print up the card to go inside. Lynn also handed out some small advertisement cards. We all will be given a few next month to hand out.

 

  Social Events: July 10, shooting event, with pot luck barbecue afterwards. Time and details later.

                          July 11, if we are rained out on July 10.

 

                          November 6, dinner at Black Woods restaurant. Time and details late.

  A review of last months stock presentation, Stryker Corporation, was discussed. Members decided that it was presently not in the buy range and not likely to be in the near future. A motion was made by Lynn and seconded not to put it on the watch list.

 

  No stock purchases this month. A vote was taken to save our funds this month or purchase stock. 2 votes for purchasing stock this month, 4 for holding funds until next month.   

 

5. Non-Stock Related Business: Lynn reviewed the NAIC fair outline, April 23-24th. All members who had not previously registered for the fair, filled out the registration form and submitted a check for Craig to mail. Lynn handed out the neck tags to wear at the fair to recruit new members. Preprinted cards were handed out for members to leave in locations where we might pick up new membership.

 

  Next meeting May 11, 2004 will be at Tim Huebsch’s house. Directions will be posted on the web before the meeting.

 

6. Education: Cheryl handed out a list of web sites for education tools, industry study, company research, screening, judgements, stock study and interesting miscellaneous. She called up a few of the sites and pointed out highlights that she found interesting.  A very well done and useful presentation.

 

8. Assignments for all:

            Review and look at some of the web sites on Cheryl’s handout.

            Make sure your stock reporting book includes “Letter to Shareholders”

If your SSG and Mike’s Pert information is different. Contact each other during the month and review the numbers.

            Bring your stock folders up to date.

Attend the NAIC fair. Take in some lectures, hand out pink cards, look for new recruits. Have a good time.

  Tim discussed his work schedule and his short notices on traveling for business and how it may impact his participation in the club. Members are to voice their opinions of this possible conflict on the discussion board during the month.

A stock presentation on C. H. Robinson Worldwide, transportation sector, was presented by Carole Ripplinger. Hand outs were received by all present. The report and SSG will be posted on the web sight for review by absent members.

 

A review of previous stock presentation "AutoZone". Lynn presented stock comparison between AutoZone, CarMax, Inc., Group 1 Auto and O'Reilly Auto. Upon reviewing and comparing, we decided that our present stock portfolio was heavily weighted in the retail sector and we would not add this stock to the watch list.

 

5. No stock purchases, due to Tim's buy-out.

 

6. Non-Stock Related Business: The two guests who have applied for membership, were present and interviewed. Voting will be done by e-mail, no later than Friday, June 11th at 5:00 pm.

 

New rate increase for NAIC - OPS, we should discuss whether it should be an option. A quorum was not present to vote. This discussion will resume at the next meeting.

 

 Tim’s resignation changed the stock presentation for October. It now is assigned to Craig, and December meeting location is now changed to Lynn's house.

 

7. Education: Cheryl's education topic this month was ETF's Exchange Traded Funds. She reviewed what she learned and handed out sheets with further information for follow-up information.

 A stock presentation on Medtronic, Inc, was presented by Mike Trisler. Hand outs were received by all present. The report and SSG will be posted on the web site for review by absent members.

 

A review of previous stock presentation "C H Robinson, Worldwide". Lynn presented stock comparison  between C H Robinson and Expeditors, EXPD. Upon discussing, reviewing and comparing, it was voted 4 to 3 (1 no vote, 2 abstain) to add this stock to the watch list.

 

5. In a vote 7 to 0,  stock purchases were approved. Purchases to be made are, including trading fees, $300.00 Lowes and $300.00 Affiliated Computer Sv.

 

Sheryl Sostarich as been assigned to be the new stock watcher for FDC.

 

6. Non-Stock Related Business: Meeting changes for September and October. September meeting will be held at Carole's workplace and October's meeting will be at Lynn's house.

 

NAIC events: In early August, your mailboxes should receive a flyer of the new NAIC classes.

 

7. Education: Cheryl 's education topic this month was "Listening to Cenference Calls". She reviewed and handed out a 14 point check list on how to listen and benefit from conference calls. Also listed were useful web sites.

            Review Mike's presentation on Medtronic.

Even though many stocks were in the buy range, it was recommended that Lowes was a Hold, due to an overweight in our portfolio.

 

FDS needed to be updated, as Craig has been on leave for 2 meetings. Brinker was at quarters end and a conference call was scheduled. CAH had internal problems with resigning CFO and failure to submit quarterly results to the SEC in timely fashion.

 

A revised SSG of previous stock presentation, Medtronic, Inc, was handed out and discussed. A 6 to 1 vote in favor of adding it to our watch list or portfolio was passed.

 

Watch List updates: Lynn reviewed and handed out an update on Walgreens and Corinthian Colleges. Sheryl reviewed and handed out an update on MNBA. Mike updated Harley Davidson. The reviews showed that Harley Davidson and Corinthian Colleges were in the buy range. Walgreens and MNBA were not, but remain on the watch list as recommended stocks to purchase if and when they fall within the buy range.

 

5. A motion to buy stocks. Purchases to be made are: $300.00 - FDC, $300.00 - Medtronics, and $200.00 - Corinthian College. These amounts are to include trading fees.

 

6. Non-Stock Related Business: Lynn advised she would be absent next meeting. Cheryl will assume her duties at the next meeting. Lynn will prepare and email the monthly agenda.

Sheryl and Jo reviewed Brinker. They listened to the conference call, reviewed all current data and presented a recommendstion to sell. CAH is still having internal problems and has delayed the release of their 10K until the end of October.

5. A motion to buy/sell stocks. A motion was made and seconded to sell all shares of CAH. A vote was taken to purchase HDI - $500.00 plus trading fee.

Non-Stock Related Business: A motion was made and seconded to change the day the club meeting is held from the 2nd Tuesday to the 2nd Thursday from January thru May 2005 to accommodate Craig's school schedule. This will also allow the prospective member Steve Schwartz to work around his school schedule and join.

 

Craig, Carole and Lynn volunteered to audit the books for end of year taxes. This will be done, early February, date selected is to be worked out between the three members.

 

Lynn showed us a few of the new features that are in ToolKit 5.

 

Lynn proposed a revamping of our monthly stock reporting sheets and has offered to design a new form for monthly and quarterly stock reports. She discussed her ideas and a motion was made to have Lynn and Mike work together on the new form, to be presented

 

7. Education: Sheryl led a discussion on "Banks of Beginners", with an example on Commerce Bank which we are to review at the next meeting.

 

Lynn reviewed the upcoming classes that the NAIC chapter is offering in early January and recommended that we attend them. She will email all information.
